Icosa Software
Last updated October 29, 2026
These Terms & Conditions ("Terms") are a binding agreement between you and Icosa Labs Inc., a Wyoming corporation ("Icosa Labs", "we", "us") governing your access to and use of the IcosaPOS software platform, including the point-of-sale application, web dashboard, kiosk and customer-facing displays, APIs, and any related services (together, the "Icosa Software").
1. Acceptance of These Terms
By creating an account, signing in, installing, or otherwise using the Icosa Software, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Icosa Software on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business. If you do not agree to these Terms, you must not use the Icosa Software.
2. License Grant
Subject to these Terms and your active subscription or service agreement, Icosa Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Icosa Software for your internal business operations. All rights not expressly granted are reserved by Icosa Labs.
3. Restrictions — No Deconstruction
You agree that you will not, and will not permit or encourage any third party to:
- Reverse engineer, decompile, disassemble, translate, or otherwise attempt to derive or reconstruct the source code, object code, architecture, algorithms, data models, or underlying structure of the Icosa Software, in whole or in part;
- Copy, modify, adapt, or create derivative works of the Icosa Software or any portion of it;
- Rent, lease, lend, sell, resell, sublicense, distribute, or otherwise make the Icosa Software available to any third party, except to your own authorized staff;
- Remove, obscure, or alter any proprietary notices, labels, or marks;
- Probe, scan, or test the vulnerability of the Icosa Software, or circumvent or attempt to circumvent any security, authentication, or usage-limit measures;
- Access the Icosa Software to build, improve, or inform a competing product or service, or publish benchmarks or performance analyses without our prior written consent;
- Use any automated means (bots, scrapers, crawlers) to access or extract data from the Icosa Software other than through interfaces we expressly provide.
These restrictions survive any termination of these Terms.
4. Your Account and Security
You are responsible for all activity under your account, including activity by your staff and anyone you provide credentials or device access to. You agree to keep credentials confidential, assign individual logins or PINs where the software supports them, and notify us promptly at the contact below if you suspect unauthorized access.
5. User Guarantees and Representations
You represent, warrant, and guarantee that:
- All information you provide to us is accurate, current, and complete, and you will keep it so;
- You will use the Icosa Software only for lawful business purposes and in compliance with all applicable laws and regulations, including tax, consumer-protection, data-privacy, age-verification, and alcohol- and tobacco-sale laws that apply to your business;
- You own or have the necessary rights to all content you load into the Icosa Software (menus, product data, images, pricing, customer records), and that content does not infringe the rights of any third party;
- You will obtain any consents required from your customers and staff for data collected or processed through your use of the Icosa Software;
- You are at least 18 years of age and legally capable of entering into this agreement.
6. Payments and Third-Party Services
Payment processing, hardware, and certain integrated services are provided by third parties under their own agreements and terms. Icosa Labs is not a bank and does not itself hold funds. Fees, settlement timing, chargebacks, and reserves related to payment processing are governed by your agreement with the applicable provider.
7. Your Data
As between you and Icosa Labs, you own the business data you enter into the Icosa Software. You grant Icosa Labs a license to host, process, back up, and display that data as needed to provide the service, to maintain and improve the platform, and to produce aggregated or de-identified analytics that do not identify you or your customers.
8. Availability, Updates, and Changes
We may update, modify, or discontinue features of the Icosa Software at any time, and may apply updates automatically. We work to keep the service available and performant, but the Icosa Software is provided without a guarantee of uninterrupted or error-free operation unless a separate written service-level agreement says otherwise.
9. Intellectual Property
The Icosa Software, including its design, code, interfaces, documentation, and trademarks, is and remains the exclusive property of Icosa Labs and its licensors. Feedback you provide may be used by Icosa Labs without restriction or obligation.
10. Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN A SIGNED SERVICE AGREEMENT, THE ICOSA SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICOSA LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE ICOSA SOFTWARE. ICOSA LABS' TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO ICOSA LABS FOR THE ICOSA SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You will defend, indemnify, and hold harmless Icosa Labs and its officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your violation of these Terms, or your violation of applicable law or third-party rights.
13. Termination
You may stop using the Icosa Software at any time, subject to any separate service agreement. We may suspend or terminate your access immediately if you breach these Terms, including the restrictions in Section 3. Upon termination, your license ends and you must cease all use; sections that by their nature should survive (including restrictions, ownership, disclaimers, limitations of liability, and indemnification) survive.
14. Changes to These Terms
We may revise these Terms from time to time. The "Last updated" date above reflects the current version. Material changes will be communicated through the Icosa Software or by email, and your continued use after changes take effect constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. The state and federal courts located in Wyoming will have exclusive jurisdiction over disputes arising from these Terms, and each party consents to venue there.

Roku App
Last updated October 29, 2026
These Terms & Conditions ("Terms") govern your use of the IcosaPOS channel for Roku devices (the "Roku App"), published by Icosa Labs Inc., a Wyoming corporation ("Icosa Labs", "we", "us"). The Roku App displays menu boards, pricing, and related digital signage content connected to an IcosaPOS account.
1. Acceptance of These Terms
By installing, activating, or using the Roku App, you agree to these Terms. The Roku App is intended for use by businesses with an active IcosaPOS account; pairing a device to an account confirms acceptance on behalf of that business. These Terms supplement, and do not replace, the Icosa Software Terms & Conditions, which also apply to your IcosaPOS account.
2. Roku Platform
The Roku App is distributed through the Roku platform and runs on Roku devices subject to Roku's own terms of use and privacy policy, which are separate agreements between you and Roku. Roku is not a party to these Terms, is not responsible for the Roku App or its content, and provides no warranty or support for it.
3. License
Icosa Labs grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Roku App on devices you own or control, solely to display content associated with your own IcosaPOS account in your places of business.
4. Restrictions — No Deconstruction
You will not, and will not permit any third party to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Roku App;
- Intercept, record, redistribute, or publicly retransmit the data feeds, APIs, or display output the Roku App uses or produces;
- Copy, modify, or create derivative works of the Roku App, or repackage it for distribution on any platform;
- Use the Roku App to display content for a business or account other than the one it is paired to, or circumvent pairing, authentication, or licensing controls.
5. Device Pairing and Account Security
Pairing codes and device links are credentials. You are responsible for the physical security of paired devices and for unpairing devices that are sold, returned, or no longer under your control. Content shown on a paired device reflects the connected account in near-real time; keeping that content accurate is your responsibility.
6. Content
Menus, prices, images, and other content displayed through the Roku App come from your IcosaPOS account. You guarantee that you have the rights to display that content and that it complies with applicable law (including pricing-accuracy and advertising rules). Icosa Labs does not review or approve displayed content.
7. Updates and Availability
We may update the Roku App automatically through the Roku platform and may add, change, or retire features at any time. The Roku App depends on your network connection, the Roku platform, and the IcosaPOS service; display interruptions caused by any of these are not grounds for liability.
8. Disclaimer and Limitation of Liability
THE ROKU APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICOSA LABS' AGGREGATE LIABILITY ARISING FROM THE ROKU APP WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE ROKU APP OR ITS ASSOCIATED SIGNAGE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, AND ICOSA LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST SALES ATTRIBUTED TO DISPLAY ERRORS OR OUTAGES.
9. Termination
We may suspend or terminate the Roku App's access to your account if you breach these Terms. You may stop using the Roku App at any time by removing the channel and unpairing your devices. Restrictions, disclaimers, and liability limits survive termination.
10. Changes and Governing Law
We may revise these Terms from time to time; continued use after changes take effect constitutes acceptance. These Terms are governed by the laws of the State of Wyoming, with exclusive jurisdiction and venue in the state and federal courts located in Wyoming.

Manager Application
Last updated October 29, 2026
These Terms & Conditions ("Terms") govern your use of the Icosa Manager mobile application (the "Manager App"), published by Icosa Labs Inc., a Wyoming corporation ("Icosa Labs", "we", "us"). The Manager App gives owners and authorized managers of IcosaPOS merchant accounts remote access to reporting, menus, and operational controls.
1. Acceptance of These Terms
By signing in to or using the Manager App you agree to these Terms. These Terms supplement the Icosa Software Terms & Conditions, which also govern the IcosaPOS account the Manager App connects to. If you do not agree, do not use the Manager App.
2. Eligibility and Authorized Use
The Manager App is for owners, managers, and staff expressly authorized by an IcosaPOS merchant account holder. You may only access accounts and locations you are authorized to manage. Access granted to you personally may not be shared, and you must sign out of shared devices.
3. License
Icosa Labs grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Manager App on mobile devices you own or control, solely for managing the IcosaPOS account(s) you are authorized on.
4. Restrictions — No Deconstruction
You will not, and will not permit any third party to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, APIs, or underlying structure of the Manager App;
- Copy, modify, or create derivative works of the Manager App, or distribute, resell, or sublicense it;
- Circumvent authentication, authorization, or rate-limiting controls, or access data belonging to accounts you are not authorized on;
- Use automated means to extract data from the Manager App other than through interfaces we expressly provide.
5. Business Data and Confidentiality
The Manager App exposes sensitive business information, which may include sales figures, staff performance, customer information, and pricing. You agree to treat information from accounts you do not own as confidential, to use it only for the account holder's business purposes, and to stop accessing it when your authorization ends. Account owners are responsible for promptly revoking access for departed staff.
6. Devices, Notifications, and Data Usage
The Manager App may request device permissions (such as notifications or biometric unlock) that you can manage in your device settings. Push notifications may include business information; you choose whether to display them on a locked screen. Mobile data and carrier charges incurred using the app are your responsibility.
7. App Marketplaces
Where the Manager App is downloaded from the Apple App Store or Google Play, the marketplace's own terms also apply. Apple and Google are not parties to these Terms, have no obligation to furnish maintenance or support for the Manager App, and are not responsible for addressing any claims relating to it. For App Store distributions, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
8. Security
You are responsible for securing the devices on which the Manager App is installed, including the use of device passcodes and prompt reporting of lost or stolen devices so access can be revoked. We may suspend access that we reasonably believe is compromised.
9. Updates and Availability
We may update the Manager App and may require a minimum version for continued access. Features may change or be retired. The Manager App depends on network connectivity and the IcosaPOS service; availability is not guaranteed.
10. Disclaimer and Limitation of Liability
THE MANAGER APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICOSA LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE MANAGER APP, AND ITS AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID TO ICOSA LABS FOR THE ICOSAPOS SERVICE BY THE RELEVANT ACCOUNT IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. DECISIONS MADE IN RELIANCE ON REPORTS OR FIGURES SHOWN IN THE MANAGER APP ARE YOUR RESPONSIBILITY; VERIFY MATERIAL FIGURES BEFORE ACTING ON THEM.
11. Termination
Account owners may revoke a user's access at any time; we may suspend or terminate access for breach of these Terms. Upon termination, you must stop using the Manager App and delete it from your devices if asked. Restrictions, confidentiality obligations, disclaimers, and liability limits survive termination.
12. Changes and Governing Law
We may revise these Terms from time to time; continued use after changes take effect constitutes acceptance. These Terms are governed by the laws of the State of Wyoming, with exclusive jurisdiction and venue in the state and federal courts located in Wyoming.
